美團近期通過發行可轉換公司債與先舊後新配股，募資了約100億美金，背後有些細節值得留意：
1. 本次融資是香港上市公司有史以來最大規模發行，恐怕也會是亞洲上市公司2021年最大規模發行，香港的金融地位更形穩固。
2. 非僅止社區電商領域，美團與阿里巴巴集團的碰撞還會更激烈。
3. 本次美團發行的可轉債是零利率、轉換價431.24港元，亦即購債的投資人認為美團股價在2027年能超過轉換價；純以套利看，現在在公開市場買入美團股票，六年40%的投資報酬率也不錯了。
4. Bloomberg也談到美團當前以自動駕駛完成了15000份訂單，同時嘗試在深圳使用無人機運送外賣。目前看來，美中韓相關業者在這個領域都走得很快，相信會孕育著相關技術與新創業者更快走向量產與實務。

1.今回の融資は香港上場企業による過去最大規模で、おそらく2021年にもアジアの上場企業でも最大規模になるだろう。香港の金融地位はさらに強固になった。

메이퇀(美團,Meituan)은 최근에 전환사채 발행과 주식배정(top-up placement )을 통해 약 100억 달러의 자금을 모집했다. 그 뒤에는 다음과 같은 자세한 점을 주의할 필요가 있다.
1. 이번 융자는 홍콩상장회사 유사이래 최대 규모이며 아마 아시아상장회사 2021년 최대 규모일 것이다. 홍콩의 금융지위는 더욱 공고해졌다.
2. 단지 지역 전자상거래 분야에서만 그런게 아니다. 메이퇀과 알리바바 그룹(阿里巴巴集團)의 충돌은 다른 분야에서 더욱 격렬해질 것이다.
3. 이번 메이퇀이 발행한 전환사채는 제로 금리다. 전환가가 431.24 홍콩달러이다. 매입한 투자자들은 메이퇀의 주가가 2027년에는 전환가를 초과할 수 있을 것이라고 생각한다. 오로지 금리재정으로만 본다면 현재 공개시장에서 메이퇀 주식을 매입하고 6년 동안 40%의 투자 수익률도 괜찮다.
4. 또는 Bloomberg는 메이퇀이 현재 15000개의 주문량은 무인운전배달으로 되었으며 심천(深圳)에서는 무인기로 배달을 시도하고 있다고 전했다. 현재 미 · 중 · 한 관련한 종사자는 이 분야에서 쾌속 발전하고 있다. 관련 기술과 새로운 창업자가 양산과 실무를 더 빨리 배태할 것으로 믿는다.

Meituan has recently raised approximately US$10 billion from a record top-up placement and a convertible bonds sale. Some details are worth paying attention to:
1.This financing is the largest in the history of Hong Kong listed companies, and it is very likely that it will also be the largest issuance of Asian listed company in 2021. Hong Kong's financial position will be more stable.
2.There will be more intense competition between Meituan and Alibaba Group at many fields including community e-commerce.
3. The convertible bonds issued by Meituan are zero-coupon and a conversion price of HK$431.24, which means that investors who purchase bonds believe that the stock price of Meituan will exceed the conversion price in 2027; in terms of investment returns, buying Meituan stocks in the open market now will have 40% return on investment in six years, that is acceptable.
4.Bloomberg also talked about Meituan's current 15,000 orders with autonomous driving, and at the same time trying to send drones for food delivery in Shenzhen. At present, it seems that the U.S., China and South Korea related industries are all moving very fast in this field, and we believe it will promote related technologies and new entrepreneurs to move faster in production and practice.
